A growing, entrepreneurial East Coast law firm is seeking a seasoned Corporate Attorney to join our expanding Business & Transactions practice. This is an opportunity to step into a visible, client-facing role within a collaborative team that values practical judgment, strong communication skills, and the ability to manage sophisticated matters with autonomy.
About the Role
The ideal candidate brings 8+ years of hands-on experience representing middle‑market companies in sell‑side or buy‑side M&A transactions. You should be comfortable serving as a primary point of contact for clients, managing deals from initial structuring through closing, and drafting and negotiating the full suite of core transactional documents.
Experience in private equity transactions and/or Regulation D offerings is also highly valued.
- Key Responsibilities
- Lead and manage middle‑market M&A transactions (buy‑side and/or sell‑side)
- Draft, review, and negotiate primary transactional documents, including purchase agreements, operating agreements, shareholder agreements, and ancillary deal documents
- Serve as a trusted advisor to clients, providing practical, business‑minded counsel
- Coordinate due diligence, manage deal timelines, and collaborate with internal and external stakeholders
- Support private equity transactions and Reg. D offerings as needed
- Qualifications
- J.D. from an accredited law school
- Active bar membership in at least one U.S. jurisdiction (East Coast preferred)
- 8+ years of corporate transactional experience, with a strong focus on M&A
- Demonstrated ability to interface directly with clients and manage complex matters independently
- Strong drafting, negotiation, and communication skills
- Ability to thrive in a fast‑growing, team‑oriented environment
